1. Agreement to Terms

By accessing or using OnlyShirtz ("the Service"), operated by Parsons Media Group LLC, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our Service.

2. Description of Service

OnlyShirtz is an online marketplace that allows users to:

• Create AI-generated designs using our design tools
• Purchase apparel featuring AI-generated and creator-made designs
• Sell designs as a registered creator/seller

3. Account Registration

To access certain features, you must create an account. You agree to:

• Provide accurate and complete information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized access
• Be responsible for all activities under your account

We reserve the right to suspend or terminate accounts that violate these terms.

4. AI-Generated Content

Usage Rights

When you create designs using our AI tools, you receive a license to use those designs for personal and commercial purposes through our platform. This includes selling products featuring your designs on OnlyShirtz.

Content Restrictions

You agree not to create content that:

• Infringes on intellectual property rights of others
• Contains illegal, harmful, or offensive material
• Depicts real people without their consent
• Violates any applicable laws or regulations
• Contains adult/NSFW content
• Promotes violence, hatred, or discrimination

Credit System

AI design generation requires credits. Credits are non-refundable once purchased and do not roll over between billing periods for subscription credits. Unused purchased credits do not expire.

5. Creator/Seller Terms

If you register as a creator/seller, you additionally agree to:

• Only upload and sell designs you have the right to use
• Not sell designs that infringe on third-party intellectual property
• Provide accurate tax information (W-9/W-8BEN as applicable)
• Accept the commission rates associated with your subscription tier
• Meet minimum payout thresholds for withdrawals

Royalties and Payments

You will receive royalties for each sale of products featuring your designs, minus applicable commissions. Payments are processed through Stripe Connect and subject to their terms. Minimum payout threshold is $25.

6. Purchases and Payments

All purchases are processed through Stripe. By making a purchase, you agree to provide accurate payment information. Prices are in USD and include applicable taxes where required.

We reserve the right to refuse or cancel orders at our discretion, including orders that appear fraudulent or violate our terms.

7. Shipping and Delivery

Products are printed on demand and shipped by our fulfillment partners. Delivery times vary by location. We are not responsible for delays caused by shipping carriers or customs processing.

8. Returns and Refunds

Due to the custom, made-to-order nature of our products, we have specific return policies:

• Defective or damaged items will be replaced or refunded
• Items that don't match the ordered specifications will be replaced
• Returns for buyer's remorse are evaluated case by case

9. Intellectual Property

Our Content

The OnlyShirtz name, logo, website design, and original content are owned by Parsons Media Group LLC and protected by intellectual property laws.

DMCA Policy

We respect intellectual property rights and respond to valid DMCA takedown notices. If you believe content on our platform infringes your copyright, please submit a notice through our DMCA page.

10. Prohibited Activities

You agree not to:

• Use the Service for any illegal purpose
• Attempt to gain unauthorized access to our systems
• Interfere with the proper functioning of the Service
• Scrape or collect data without permission
• Use automated systems to access the Service without approval
• Harass, abuse, or harm other users
• Create multiple accounts to abuse promotions or credits

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not guarantee that AI-generated content will be free from errors or suitable for any particular purpose.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PARSONS MEDIA GROUP LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICE.

Our total liability shall not exceed the amount you paid to us in the 12 months preceding the claim.

13. Indemnification

You agree to indemnify and hold harmless Parsons Media Group LLC and its officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of the Service or violation of these terms.

14. Governing Law

These Terms shall be governed by the laws of the State of California, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Orange County, California.

15. Changes to Terms

We may modify these Terms at any time. We will notify users of material changes via email or prominent notice on our website. Continued use after changes constitutes acceptance of the new terms.
